Typodermic Font Software for Desktop End User 
License Agreement

Effective date: August 17, 2026 
We recommend that you save or print this Agreement for future reference. 
This Font Software for Desktop End User License Agreement (the Agreement) is a legal agreement 
between the Licensee and Typodermic. It governs the Font Software that is accompanied by, packaged 
with, or expressly refers to this Agreement. 
By downloading, installing, copying, or using the Font Software, or by accepting this Agreement by 
another clear means, the Licensee agrees to this Agreement. A person accepting for an organization 
represents that the person has authority to bind that organization. If the Licensee does not agree, the 
Font Software must not be downloaded, installed, copied, or used. 
Capitalized words have the meanings given in Section 9. 
1. Binding Agreement 
The Licensee is bound by this Agreement. All Use of Font Software supplied by Typodermic under this 
Agreement is governed by this Agreement and by any applicable Distribution Record. 
This Agreement applies only to the specific Font Software delivered with or referring to it. A license for 
one font, style, version, or file does not grant rights to another font, style, version, or file. 
2. License Grants 
Subject to this Agreement, Typodermic grants the Licensee a worldwide, perpetual, non-exclusive, non-
sublicensable, non-assignable, and non-transferable license for the Licensed Desktop Users to do the 
following. 
2.1 Workstation installation 
A Licensed Desktop User may install and Use the Font Software on that user's Workstations. 
2.2 Finished materials and static images 
A Licensed Desktop User may Use the Font Software to create, edit, view, print, and distribute materials 
for commercial or non-commercial purposes if: 
• the distributed materials do not contain the Font Software; and

• any representation of the typeface is fixed artwork and does not provide glyphs or glyph 
combinations that software, a website, hardware, or another mechanism can individually 
address to render text or designs. 
Permitted finished materials include print, logos, packaging, merchandise, presentations, images, and 
rendered audiovisual content, provided they meet the conditions above. A recipient may receive the 
finished result but not a reusable font capability. 
2.3 Limited PDF embedding 
A Licensed Desktop User may create and distribute a Non-commercial PDF containing embedded Font 
Software if: 
• the PDF is non-editable by its recipient using the embedded Font Software; 
• the Font Software cannot be fully or partially extracted from the PDF; and 
• the PDF does not enable a recipient to compose new text with the Font Software. 
A commercial PDF, e-book, electronic publication, or other electronic document that contains 
embedded Font Software is not licensed under this Agreement if it is sold, licensed, or distributed as a 
product in itself. A separate written license is required. 
A commercial PDF that contains only outlined or rasterized artwork, and does not contain Font 
Software, may qualify as a permitted finished material under Section 2.2. 
2.4 Backup copies 
The Licensee may make a reasonable number of backup copies for internal archival and disaster-
recovery purposes. Backup copies must remain under the Licensee's exclusive control and retain all 
copyright, trademark, and proprietary notices contained in the original files. 
2.5 Trademarks 
Use of the Trademarks is not required. When accurately identifying Font Software or permitted 
materials created with it, the Licensee may use the applicable Trademarks in advertising, publicity, 
packaging, documentation, and other descriptive materials. The Licensee acquires no ownership in the 
Trademarks and must not imply sponsorship or endorsement by Typodermic. 
All rights not expressly granted are reserved by Typodermic and its licensors. 
3. License Limits and Verification 
3.1 Licensed user count 
The maximum number of Licensed Desktop Users is the number stated in the Distribution Record. If no 
number is stated, the number is one.

Each Licensed Desktop User is counted whether or not that person uses the Font Software at the same 
time as another user and whether or not that person uses it regularly. The count is based on all 
individuals who are authorized and able to Use the Font Software, not concurrent use. 
The Licensee is responsible for every Licensed Desktop User's compliance with this Agreement. 
3.2 Volume 
Unless the Distribution Record expressly states otherwise, there is no reproduction-volume limit for 
finished materials permitted by Section 2.2. Volume does not expand the kinds of Use permitted by this 
Agreement. 
3.3 Verification 
The Licensee must maintain reasonable records sufficient to identify the Licensed Desktop Users and the 
source and version of the Font Software. Upon a reasonable written request, the Licensee must provide 
information reasonably necessary to verify compliance within 30 days. Typodermic will use requested 
information only for license administration, enforcement, and related legal obligations. 
If additional users or rights are required, the Licensee must obtain an appropriate license before the 
additional Use begins. No fee is due to Typodermic for Use that is permitted by this Agreement. 
4. Restrictions on Use 
Except where this Agreement expressly permits it, the Licensee and Licensed Desktop Users must not do 
any of the following. 
4.1 No transfer or distribution 
The Licensee must not assign or transfer this Agreement or rent, lease, sublicense, give, lend, publish, 
upload, share, or otherwise distribute the Font Software or any copy. Another person or legal entity 
must obtain its own copy and license from an Authorized Download Source. Typodermic may approve a 
different arrangement only in a separate written agreement. 
4.2 Modification and derivative fonts 
The Licensee must not modify, adapt, translate, reverse engineer, decompile, disassemble, convert, 
rename, subset, expand, or otherwise alter the Font Software, or create or commission a Derivative 
Work from it, except to the limited extent that applicable law does not permit this restriction. 
The Licensee must not alter embedding permissions or other technical protection settings, remove 
proprietary notices, or circumvent a protection measure. 
Editing, distorting, or otherwise changing letterforms after they have been converted to ordinary vector 
outlines or raster artwork in a permitted finished material is not modification of the Font Software.

4.3 Embedding and functional distribution 
Except for Section 2.3, the Licensee must not embed, bundle, install, or distribute the Font Software in 
or with any: 
• website or webfont implementation; 
• app, game, desktop application, plug-in, extension, mod, or other software; 
• editable template, presentation theme, document template, or design system distributed to 
another person; 
• server, software-as-a-service product, automated document or image generator, product-
personalization system, print-on-demand system, or user-generated-content service; 
• operating system, firmware, hardware, device, vehicle, kiosk, appliance, or other OEM product; 
or 
• product or file that allows another person to access, select, extract, or Use the Font Software. 
4.4 Servers and digital asset management 
The Licensee must not install or store the Font Software on a server, shared network location, cloud font 
service, or digital asset management system from which it can be accessed or synchronized for Use. A 
backup location that satisfies Section 2.4 and cannot be used as a shared font source is permitted. 
4.5 Reusable glyph products 
The Licensee must not use the Font Software or fixed artwork derived from it to create or distribute a 
substitute font, alphabet product, letter set, embroidery alphabet, cutting-machine alphabet, 
individually addressable glyph library, recombinable character sheet, or other product whose purpose or 
practical effect is to let a recipient compose new text or designs from the typeface. 
4.6 Publicly Available Software 
The Licensee must not include or embed the Font Software in Publicly Available Software, or use it in a 
way that would require the Font Software to be disclosed in source form, licensed for modification, or 
redistributed at no charge. 
4.7 Artificial intelligence 
The Licensee must not use the Font Software, font tables, glyph outlines, spacing or kerning data, or 
rendered visual elements from the Font Software in connection with the development, training, or fine-
tuning of an artificial-intelligence or machine-learning model, including a generative model. 
The Licensee may use non-rendered descriptive metadata, such as font names, classifications, and tags, 
for automated analysis or model training if that metadata does not contain and cannot be used to 
reconstruct the Font Software, its tables, or its glyph outlines.

This Section does not prohibit ordinary use of software that incorporates an AI feature when that use 
does not provide the Font Software or derived training material to an AI model and otherwise complies 
with this Agreement. 
5. Intellectual and Industrial Property Rights 
The Font Software is protected by Canadian copyright and other intellectual and industrial property 
laws, corresponding laws of other jurisdictions, and international treaties. 
Typodermic and its licensors own all right, title, and interest in the Font Software, including its structure, 
organization, code, tables, related files, typeface-design rights where recognized, copyright, design 
rights, and trademark rights. The Licensee receives a license, not ownership. 
Intentional or negligent Use outside this Agreement may infringe those rights. All rights not expressly 
granted, including unpublished rights, are reserved. 
6. No Warranty and Limitation of Liability 
6.1 No contractual warranty or support obligation 
To the maximum extent permitted by applicable law, the Font Software is provided "as is," with all faults 
and without any representation, condition, guarantee, or warranty of any kind, whether express, 
implied, statutory, or otherwise. 
Typodermic does not promise that the Font Software will be error-free, complete, secure, 
uninterrupted, compatible with any software, operating system, hardware, file format, or workflow, 
suitable for any particular purpose, or capable of producing any particular result. Typodermic does not 
promise that any defect will be corrected. 
Typodermic has no contractual obligation to maintain, update, correct, repair, replace, or support the 
Font Software. Any assistance, correction, replacement, update, or new download that Typodermic 
chooses to provide is voluntary and does not create a warranty or continuing obligation. 
6.2 Disclaimer of implied terms 
Without limiting Section 6.1, and to the maximum extent permitted by applicable law, Typodermic 
disclaims all implied or statutory representations, conditions, guarantees, and warranties, including non-
infringement, merchantability, acceptable quality, durability, fitness for a particular purpose, 
compatibility, performance, and results. 
The Licensee is responsible for deciding whether the Font Software is suitable for the Licensee's 
purposes and for testing it before relying on it in production, publication, manufacture, distribution, or 
another material use. 
6.3 Exclusion of liability 
To the maximum extent permitted by applicable law, Typodermic will not be liable under any legal 
theory, including contract, tort (including negligence), strict liability, statute, or otherwise, for any claim,

loss, damage, cost, expense, or other liability arising out of or relating to the Font Software, this 
Agreement, or the Use of or inability to Use the Font Software. 
This exclusion includes direct, indirect, consequential, incidental, special, exemplary, and punitive 
damages and any loss of profit, revenue, data, goodwill, savings, business opportunity, production, or 
use; business interruption; computer or system failure; replacement cost; or third-party claim, even if 
Typodermic was advised that the loss was possible. 
6.4 Mandatory rights and liabilities 
Nothing in this Agreement excludes or limits a right, remedy, condition, guarantee, warranty, duty, or 
liability that applicable law does not permit the parties to exclude or limit. Nothing in this Agreement 
waives a consumer's non-waivable statutory rights or remedies. If applicable law requires a remedy or 
liability that cannot be excluded but permits it to be limited, Typodermic's obligation or liability is 
limited to the minimum permitted by that law. 
7. Perpetual Duration and Termination 
7.1 Duration 
This Agreement begins when the Licensee first accepts it. Subject to this Section, the license is perpetual 
and has no expiry, renewal, subscription, or recurring fee. 
7.2 Termination for breach 
Typodermic may terminate this Agreement by written notice if the Licensee or a Licensed Desktop User 
materially breaches it. 
If a breach is capable of cure, the notice will describe the breach and the Licensee will have 14 days after 
receipt to cure it. Typodermic may terminate immediately for an intentional or repeated unauthorized 
distribution, embedding, circumvention, or modification of the Font Software, or if a breach cannot 
reasonably be cured. 
7.3 Effect of termination 
Upon termination or voluntary surrender, the Licensee must stop all Use and permanently delete or 
destroy every copy of the Font Software under the Licensee's possession or control, including backups. 
Termination does not affect claims arising from an earlier breach. 
Sections 4, 5, 6, 7.3, 8, and any provision that by its nature should survive will continue after 
termination.

8. Governing Law, Disputes, and General Terms 
8.1 Governing law 
This Agreement and any dispute arising from it are governed by the laws of British Columbia and the 
federal laws of Canada applicable there, without regard to conflict-of-laws rules. The United Nations 
Convention on Contracts for the International Sale of Goods does not apply. 
Mandatory rights available to the Licensee under applicable consumer or other law are not excluded by 
this choice of law. 
8.2 Informal resolution 
Before starting a formal proceeding, the parties are encouraged, but not required, to exchange written 
notice describing the dispute and requested resolution and to attempt in good faith to resolve it. 
Typodermic may be contacted at fontsupport@typodermicfonts.com. This Section does not delay a 
limitation period or restrict either party's legal rights. 
8.3 Courts and jurisdiction 
Subject to any mandatory right under applicable consumer or other law, the courts of British Columbia 
and the federal courts of Canada sitting in British Columbia have exclusive jurisdiction over disputes 
arising out of or relating to this Agreement. The Licensee and Typodermic submit to the jurisdiction of 
those courts. 
If applicable law gives the Licensee a non-waivable right to bring a claim in another court or tribunal, or 
makes an exclusive-jurisdiction provision unenforceable, that right is preserved. 
8.4 Interim and intellectual-property relief 
Nothing in this Agreement prevents either party from asking a court with jurisdiction for interim, 
conservatory, or injunctive relief when reasonably necessary to protect rights or prevent irreparable 
harm, including relief concerning unauthorized distribution, modification, or embedding of the Font 
Software. 
8.5 Entire agreement and order of precedence 
This Agreement, the applicable Distribution Record, and any separate written agreement signed by an 
authorized representative of Typodermic are the entire agreement concerning the Font Software and 
supersede earlier communications about that delivery. 
If they conflict, a separate signed agreement controls, followed by a Distribution Record expressly issued 
or approved by Typodermic, followed by this Agreement. A Typodermic-issued or approved Distribution 
Record may identify the Font Software, grant more Licensed Desktop Users, or grant additional rights, 
but it does not reduce rights in this Agreement unless it clearly states the change and the Licensee 
expressly accepts it. A distributor's independent listing, summary, category, or "free" label does not 
change this Agreement.

8.6 Changes to the Agreement 
A later EULA or website revision does not change a license already accepted for a delivered version of 
Font Software unless the Licensee expressly accepts the change. Typodermic may require a later 
agreement for a later font version, update, or new delivery. 
No other modification is effective unless it is in writing and signed by an authorized representative of 
Typodermic and the Licensee. 
8.7 Assignment and corporate succession 
The Licensee may not assign or transfer this Agreement. Typodermic may assign this Agreement with 
the Font Software business or intellectual-property rights to a successor or affiliated entity, provided the 
assignment does not materially reduce the Licensee's express rights. 
8.8 Severability, waiver, and headings 
If a provision is invalid, illegal, or unenforceable, it will be interpreted or limited to the minimum extent 
necessary to make it enforceable where possible, and the remaining provisions will continue in effect. A 
failure or delay in enforcing a provision is not a waiver. Headings are for convenience and do not limit 
the text. 
8.9 Notices and electronic records

A notice to the Licensee may be sent to the latest contact address the Licensee supplied to Typodermic, 
if any. Notices may be delivered by email or another written method that provides a record of 
transmission. The Licensee agrees that this Agreement and related records may be retained and 
delivered electronically. 
8.10 Export and sanctions compliance 
The Licensee must not export, transfer, or Use the Font Software in violation of applicable Canadian 
export controls, economic sanctions, or other trade laws, or applicable laws binding on the Licensee.

9. Definitions 
Agreement means this Typodermic Font Software for Desktop End User License Agreement together 
with an applicable Distribution Record and any separate written agreement that Section 8.5 makes part 
of the entire agreement. 
Authorized Download Source means Typodermic's official website or a third-party distributor that 
Typodermic authorized to distribute the relevant Font Software at the time of acquisition. Current 
examples may include DaFont and 1001 Fonts. A site's independent description of a font as "free" does 
not make it an Authorized Download Source or change this Agreement. 
Commercial Electronic Document means a PDF, e-book, electronic publication, or similar document that 
is sold, licensed, or distributed as a product in itself for a fee or other consideration. A document used 
only inside the Licensee's organization, or distributed only as an incidental explanation of another 
product or service, is not a Commercial Electronic Document for this Agreement. 
Derivative Work means software, data, or another work based on or derived from all or part of the Font 
Software in a form in which the Font Software is recast, transformed, adapted, converted, expanded, 
subsetted, or otherwise altered. Permitted fixed artwork created under Section 2.2 is not a Derivative 
Work of the Font Software. 
Distribution Record means the download page, package, included license or readme file, written 
confirmation, or other record issued or expressly approved by Typodermic that identifies the relevant 
Font Software and any specific licensed user count or additional rights. A page at an Authorized 
Download Source may identify the download and its source, but it changes licensed rights only if 
Typodermic expressly approved that change. 
Font Software means the software and data that generate or implement a typeface or typographic 
design, including font files, executable instructions, tables, glyph outlines, spacing and kerning data, 
subsets, converted font formats, updates or upgrades supplied by Typodermic, related files, permitted 
copies, and documentation. Font Software does not include fixed artwork lawfully created and 
distributed under Section 2.2. 
Licensee means the individual or legal entity that accepts this Agreement. If a person accepts for an 
employer or another organization, that organization is the Licensee. 
Licensed Desktop User means a natural person whom the Licensee authorizes to exercise the desktop 
rights in this Agreement, up to the permitted user count. If the Licensee is an individual, the Licensee 
may be the Licensed Desktop User. If the Licensee is an entity, each Licensed Desktop User must be an 
employee unless the Distribution Record or a separate signed agreement expressly permits another 
relationship. Contractors, agencies, clients, subsidiaries, affiliates, and other legal entities are not 
Licensed Desktop Users merely because they work with the Licensee. 
Non-commercial PDF means a non-editable PDF that is not a Commercial Electronic Document. It may 
include an internal document or a document distributed only as an incidental explanation of another 
product or service.

Publicly Available Software means software distributed under an open-source, free-software, source-
available, or similar model that requires software incorporated into, derived from, or distributed with it 
to be disclosed in source form, licensed for modification, or redistributable at no charge. 
Trademarks means the names, marks, and logos under which Typodermic or its licensors identify or 
market the Font Software. 
Typodermic means Typodermic Fonts Inc. and its successors and permitted assigns. 
Use occurs when a person can give a command that is followed by the Font Software, or when the Font 
Software's software or instructions are executed, regardless of where the Font Software is stored. 
Workstation means a desktop or laptop computing device primarily assigned to and controlled by a 
Licensed Desktop User. It does not include a server, shared network service, digital asset management 
system, mobile app, hardware product, or device in which the Font Software is embedded for use by 
others.
